These Terms of Service ("Terms") govern access to and use of the Clarioso website, platform, tools, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization. In that case, "Customer" refers to that organization, and you are a "User" acting on its behalf.

1. Definitions

  • User means an individual authorized to access the Services.
  • Customer means the company or organization on whose behalf the Services are used.
  • Customer Content means contract text, documents, clause excerpts, and other materials submitted to the Services by or on behalf of Customer.
  • Outputs means analyses, risk scores, summaries, indicators, suggested language, and other results generated by the Services.
  • Risk Signals means informational indicators derived from Customer Content, including classifications and scores.

2. No legal advice; decision-support only

Clarioso provides general commercial information and contract risk intelligence. The Services and Outputs are provided for informational and decision-support purposes only and are not legal advice and do not create an attorney–client relationship. You are responsible for obtaining advice from qualified counsel regarding your specific situation.

3. Output limitations; no warranty of accuracy

Outputs and Risk Signals may be probabilistic and may contain errors, omissions, or inaccuracies. Clarioso does not warrant the accuracy, completeness, or reliability of any Output, and you agree not to rely on Outputs as the sole basis for legal, financial, or business decisions. Customer remains responsible for independent review and judgment.

4. Acceptable use

You are responsible for the Customer Content you submit and agree not to upload information you are not authorized to share. You also agree not to use the Services for unlawful, harmful, or abusive activity, including attempting to disrupt the Services or bypass security controls.

Do not upload highly sensitive personal data. If you submit third party information, you represent you have the rights and permissions necessary to do so.

5. Policy-bound suggestions (Phase 4)

Certain Services may generate suggested contract language or redline recommendations based on Customer-defined playbooks or parameters. Such Outputs are not autonomously executed and are not committed to any contract by Clarioso. Any use of such Outputs requires explicit user review and action outside the Services.

6. Fees; no refunds

Certain features may require payment. Where fees apply, they will be presented prior to purchase. All fees are non-refundable, including for unused subscription periods, except as expressly stated in writing by Clarioso.

7. Disclaimer of warranties

THE SERVICES, OUTPUTS, AND RISK SIGNALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." CLARIOSO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. CLARIOSO DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARIOSO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARIOSO'S TOTAL LIABILITY IN THE AGGREGATE ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO CLARIOSO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Changes to the Services and these Terms

Clarioso may update or modify the Services and may update these Terms from time to time. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

10. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in state or federal courts located in Pennsylvania.
